Terms of Service

These terms cover two things: homeowners who upload a quote to AhTown, and home service pros who hold a seat on AhTown. AhTown is run by Directory Three LLC. Using the site means you agree to these terms and to our Privacy Policy.

Part A. Homeowners

A1. What the analysis is and isn’t

When you upload a quote, we send you an analysis: our read on the price, the scope, what looks missing, questions to ask, and where there may be room to negotiate. It is informational. It is based on local pricing we have seen, public information, and our own judgment, and it is checked before it goes out. It is not legal, financial, engineering, construction or safety advice. We do not read or interpret contract terms. We do not inspect your property or the contractor’s work. We make no guarantee of any price, any outcome, any savings, or that a contractor will agree to anything. The decision to sign, negotiate or walk away is yours alone, and you make it on your own judgment and with your own professionals.

A2. What you give us and what you promise

You upload only quotes you received for a property you own or are responsible for. You have the right to share them with us. You give us permission to read them, to email you about them, and to add anonymized facts from them (job type, ZIP, price, scope, with your name, contact details and street address removed) to our price database, which we may keep and use after your record is deleted.

A3. The second quote

If you ask for a second quote and tick the sharing box, we pass your details to one AhTown pro. That pro is an independent business. We are not a party to anything you agree with them, we don’t supervise their work, and any claim about their quote or their work is between you and them. You can withdraw the request by emailing us.

A4. Free

The analysis is free for homeowners. We may stop offering it, or change how it works, at any time.

Part B. Home service pros

B1. What a seat is

A seat is an advertising placement: for one trade in one block of neighboring ZIP codes, you are the only business AhTown lists for that trade, and the only one we pass a homeowner’s second-quote request to. It is not a certification, license, endorsement, award or credential.

B2. What we do not promise

We do not promise any number of leads, calls, second-quote requests, customers or revenue, any search engine or AI assistant ranking, or any level of traffic. A seat is an advertising listing and a routing rule. Nothing else is implied.

B3. The 4.5-star standard

To hold a seat you keep an average rating of at least 4.5 stars across your public reviews on the platforms we check (Google and similar), as we check them from time to time. If you fall below it, we tell you, give you 30 days, and then may end the seat under B9. We do not check licenses, insurance or the quality of anyone’s work, and a seat is not a recommendation. Homeowners should make their own checks before hiring anyone.

B4. Pricing and billing

Seats are free. The company we accept for an open seat holds it free of charge, with no end date, until another company makes an offer for it. No payment details are needed to hold a free seat. AhTown defines the blocks. Offers for a held seat. A company that wants a seat someone else holds may make an offer: a monthly price of its choosing, with a commitment of at least 3 months. We do not publish a price and may decline an offer we don’t think is made in good faith. First right of refusal. When an offer is made for your seat, we email you the offered monthly price. If you accept within 14 days, the seat stays yours at that price with the same 3-month minimum. If you decline or don’t reply, the seat goes to the company that made the offer and your listing for it ends. Minimum term. A paid seat has a 3-month minimum from its start, billed monthly. After that it renews monthly until canceled. Paid seats are billed through Stripe, and by starting one you authorize the recurring charge. Prices exclude any tax we are required to collect.

B5. Cancellation and refunds

A free seat can be given up at any time by telling us. A paid seat can be canceled any time after its 3-month minimum; a cancellation during the minimum term takes effect at the end of it. No prorated refunds: when you cancel, you are not charged at the next billing cycle, your listing stays live until the end of the paid period, and the seat opens.

B6. Failed payments

If a payment fails, your listing stays live for 7 days while we retry and email you. If it isn’t completed by then, the subscription ends and the seat opens.

B7. Your listing content

You give us permission to display your business name, logo, phone number, service description, service area, website and review links on AhTown. You confirm you have the right to use what you give us and that it is accurate. We may edit formatting and may remove content that is unlawful, deceptive or harmful.

B8. Territory rules

Territory rights last only while you hold the seat. They are tied to your business and cannot be sold, transferred or shared. If you give up or lose the seat, you have no continuing claim to those ZIP codes.

B9. What we ask, and ending a seat

You respond to every second-quote request within 24 hours, you keep the 4.5 standard, and you never contact a homeowner who did not ask for a second quote. We may suspend or end a seat, with a prorated refund of the current month, if it is used unlawfully, misrepresents a business, breaks these terms, breaks the no-contact rule, or draws credible complaints of harm to customers. We may also end service for any reason with 30 days’ notice and a refund of any unused period.

Part C. Everyone

C1. No warranty and limit of liability

AhTown and everything on it are provided “as is” and “as available.” To the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We don’t warrant that the site will be uninterrupted or error-free, or that any email will be delivered. Every business on AhTown is independent of us. To the fullest extent allowed by law, our total liability for any claim relating to the site, an analysis or a seat is limited to the greater of (a) the amount you paid us in the three months before the claim arose and (b) $100. We are not liable for indirect, incidental, consequential, special or punitive damages, or for lost profits, revenue or data, even if told they were possible.

C2. Your responsibility to us

You agree to defend, indemnify and hold harmless Directory Three LLC and its owners, employees and contractors from claims, losses and costs (including reasonable attorney’s fees) arising from content you give us, your services or work, your use of the site, information you upload about someone else, or your breach of these terms or of the law.

C3. Communications

We email homeowners about their quote and pros about their seat. You can opt out of anything that isn’t about an open request by replying “no.” Calls and texts are covered in the Privacy Policy.

C4. Changes to these terms

We may update these terms. If a change materially affects you, we email seat holders and anyone with an open quote at least 14 days before it takes effect, and the date at the top of this page moves. Continuing to use the site after that means you accept the update. Changes to C5 do not apply to a dispute we already knew about.

C5. Disputes, arbitration and class action waiver

Talk to us first. Before filing any claim, you agree to email john@getahtown.com with a description of the dispute, and we will try to resolve it informally for 30 days. We do the same before filing against you. Binding individual arbitration. If we can’t resolve it, you and AhTown agree that any dispute arising out of or relating to these terms, the site, an analysis or a seat will be resolved by final and binding arbitration before the American Arbitration Association under its Consumer or Commercial Arbitration Rules, as applicable, rather than in court. You and AhTown each waive the right to sue in court and to a judge or jury. The arbitrator decides all issues, including the scope and enforceability of this section, except that a court decides the class action waiver. Arbitration takes place in Monmouth County, New Jersey, or by video or phone, and the arbitrator may award the same individual relief a court could. The Federal Arbitration Act governs this section. Class action and jury waiver. Claims may be brought only in an individual capacity, not as a plaintiff or class member in any class, collective or representative proceeding. Small claims and opt-out. Either side may bring an individual claim in small claims court instead. You may opt out of arbitration by emailing us within 30 days of first agreeing to these terms.

C6. Governing law and courts

New Jersey law governs these terms, without regard to conflict of law rules, together with the Federal Arbitration Act. Any dispute that is not arbitrated will be brought only in the state or federal courts in Monmouth County, New Jersey.

C7. General

These terms, with our Privacy Policy and any written order we agree with you, are the whole agreement about their subject. If any part is unenforceable, the rest stays in effect. Our not enforcing a term is not a waiver of it. You may not assign these terms without our written consent; we may assign them with our business. We are not responsible for delays caused by events outside our reasonable control.
